The Management Board of ReGuest S.p.A. hereby announces that ReGuest S.p.A., on 09th april 2026 (with the registration in the Companies Register dated 31st march 2026, published on 7th april 2026), resolved and implemented a capital increase against contribution in kind with exclusion of subscription rights, subscribed by the investor David Ohandjanian.Within the scope of this transaction, ReGuest S.p.A. increased its share capital from EUR 304,494.40 to EUR 305,129.06 through the contribution in kind of 30 % of the shares in Up Hotel Agency LTD, with registered office in Top Floor The Old Telephone Exchange, Albert Street, Rugby, Warwickshire, CV21 2SA, United Kingdom, registered in England & Wales with the number 09209453.The amount exceeding the nominal capital increase, totalling EUR 257,986,03, was allocated as share premium (agio) to the restricted capital reserve and thus recognized as equity in accordance with applicable accounting regulations.As a result of the capital increase, 31,733 new registered shares of ReGuest S.p.A. were issued. The issue price per new registered share, consisting of the proportional nominal amount and the share premium, amounted to EUR 8.15 per share.The Management Board will, in due course, apply for the inclusion of the new registered shares in trading on the direct market plus of the Vienna MTF of the Vienna Stock Exchange.
